By entering the Magensa Demo Contest (the Contest) you agree to be bound by these Official Rules.

NO PURCHASE IS NECESSARY TO ENTER THIS CONTEST

CONTEST DESCRIPTION

The Contest is activity-based, and the object is to earn the most entries by giving demonstrations of the Magensa system or encouraging others to do so, for the chance to win a cash prize as described below. Each entry is depicted as one point.

TERM: The Contest will run through 11:59 PM PST April 15th, 2008.

PRIZE - $2,500.00 (twenty-five hundred dollars US)

ODDS OF WINNING: Odds of winning will be determined by the number of entries received.

HOW TO PARTICIPATE IN THIS CONTEST:

• 1. (a) Signing up for the contest. If you requested a personal MagneSafe reader, saw the Magensa system demo and signed up for the contest at the www.magensa.net/contest web site during the BAI RDS 2007 show are automatically entered into The Magensa Demo Contest. You must agree ("opt-in") to receive Email regarding Magensa LLC products and service offerings and/or information about this contest.
• AND/OR
• (b) Referrals. You are automatically entered into The Magensa Demo Contest each time you use your personal MagneSafe reader to demo the Magensa system and provide to Magensa LLC a referral to one e-mail address, and Magensa LLC verifies such e-mail address to be valid and different from your own, and the owner of that email address verifies that the demo was presented by you. For each e-mail address referred and verified, you will be entered into The Magensa Demo Contest one time again.
• AND/OR
• (c) Referrals become New Contestants. You are automatically entered into The Magensa Demo Contest each time the Referrals you have provided request a personal MagneSafe reader, enter the contest and demo the Magensa system, refer an additional Email address, and Magensa LLC verifies such e-mail address to be valid and different from your own and the owner of that email address verifies that the demo was presented by your Referral. For each e-mail address referred and signed up by your Referrals' New Contestants, you will be entered into The Magensa Demo Contest five times again. There is no limit to how many levels down your Referrals can extend, as long as they are all valid Referrals, are signed up for the contest and provide at least one verified demo of the Magensa system.
• AND/OR
• (d) By mail. You may also enter by hand by printing your complete name, address, e-mail address, age, and the words The Magensa Demo Contest on a 3" x 5" piece of paper. Mechanically reproduced entries are not permitted. Mail your entry to: Magensa LLC, 20725 Annalee Avenue, Carson, CA 90746 Attn: The Magensa Demo Contest. You may mail as many entries as you wish, but only one entry may be included in each outer mailing envelope. Mail entries must be postmarked by April 8th, 2008 and received no later than April 14th, 2008. Hand-delivered entries will not be accepted and if left at our office will not be entered in The Magensa Demo Contest.

VIEWING YOUR ENTRIES: You may view the number of your entries in comparison to all other contestant entries received to date at www.magensa.net/contest. Entries are depicted as “points earned”. Each point is equal to one entry.

Magensa LLC is not responsible for errors, omissions, interruptions, deletions, defects in part or whole, delays in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials, or for any technical or non-technical network, telephonic, electronic, computer, hardware or software malfunctions of any kind, or inaccurate or partial transmission of or failure to receive entry information by Magensa LLC on account of technical problems or traffic congestion on the Internet, at any web site or any combination thereof. Magensa LLC is not responsible for any injury or damage to entrant's or any other person's computer related to or resulting from playing or downloading any materials in The Magensa Demo Contest, or for mail-in entries that are lost, late, misdirected, damaged, incomplete, altered, illegible or postage-due. All entries become Magensa LLC's property and will not be returned. Magensa LLC reserves the right to cancel temporarily or permanently the electronic method of The Magensa Demo Contest, entries if it becomes technically corrupted.

DISQUALIFICATION: All of your entries in this and all other contests sponsored by Magensa LLC in the past, present, or future, will be automatically disqualified without notice or recourse if you promote the Contest through unsolicited commercial Email, multiple repetitive postings to UseNet Newsgroups or even one posting to inappropriate UseNet Newsgroups or any other violation of Acceptable Use Policy. Any violation of such Acceptable Use Policy will prevent you from entering any future contest sponsored by Magensa LLC and we will automatically revoke your membership in all Magensa LLC's web sites.

All of your entries will be disqualified, at the sole discretion of Magensa LLC, if you attempt (i) to enter The Magensa Demo Contest through any means other than as described in these Official Rules; or (ii) to disrupt The Magensa Demo Contest, circumvent the terms and conditions of these Official Rules, or in any way tamper with The Magensa Demo Contest. If either of the above occurs, Magensa LLC has the right to remedy any such action, disruption, or circumvention, and to seek damages from you to the fullest extent permitted by law.

ELIGIBILITY: Open to all qualified professionals who are 18 (eighteen) years of age or older at the time of entry and employed in the financial, payment and/or identification industry. Void wherever prohibited by law. Employees of Magensa LLC and their affiliates, parent companies, participating vendors, subsidiaries and advertising and promotion agencies, and anyone working directly on this program, product and promotion and the immediate family members or those living in the same household of each (Sponsor and Administrators) are not eligible to enter.

By registering to win the prize, the winner grants Magensa LLC permission to use his/her name (including screen name) and likeness for advertising and future promotion purposes without additional compensation (except where prohibited by law). Unaccepted prizes may not be awarded. The Magensa Demo Contest is subject to these complete and Official Rules.

SELECTION OF WINNERS: Winners will be selected on the afternoon of April 15th, 2008 for The Magensa Demo Contest. The person with the greatest number of entries (points) will be declared the winner. If there is a tie, the names of the contestants who are tied will be placed in a bowl and one will be drawn at random. The winner will be notified at the day of the drawing, and has 48 hours to contact Magensa LLC regarding their prize. Magensa LLC reserves the right to modify scheduling of The Magensa Demo Contest without prior notice. If the judges determine in their sole discretion that there is any suspected or actual electronic tampering with the giveaway or if technical difficulties compromise the integrity of the giveaway, the judges reserve the right to void the entries at issue, and/or terminate the giveaway and conduct a random drawing to award prizes using all eligible entries received as of the termination date. Limit one prize per person. Winners may be required to sign and return an affidavit of eligibility within 3 days of notification attempt. Failure to return the affidavit in the time noted will result in disqualification of the entry and the random selection of an alternate winner. Magensa LLC may require winners to provide proof that they are the authorized account holders of the e-mail addresses used to enter The Magensa Demo Contest. "Authorized account holder" is defined as the natural person who is assigned to an e-mail address by an Internet service provider, online service provider, or organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the e-mail address. Any winner who does not comply with the Official Rules will be disqualified and an alternate winner will be selected. Return of any prize or prize notification as "undeliverable" will result in disqualification and an alternate winner will be selected.

NOTIFICATION: Prizewinners will be notified by e-mail sent to the e-mail address on the Magensa LLC account (or the e-mail address on the mail-in entry when applicable), and Magensa LLC is under no obligation to notify winners by any means other than e-mail. If a winner's Magensa LLC profile is no longer active, notification will be sent to the last known e-mail address. If a prizewinner entered by mail, the notification will be sent to the address that was printed on the 3"x 5" piece of paper. Magensa LLC is not responsible for notifications that are misdirected or not received because of e-mail addresses or mailing addresses that are no longer correct. If a potential winner cannot be reached after a reasonable effort has been made during 1 business day from the first notification attempt, such person may be disqualified, with an alternate winner selected. Any prize notification or prize returned as undeliverable will result in the awarding of that prize to an alternate winner.

REDEMPTION: Magensa LLC will deliver the prize as follows: All Prizes. Each prize will be shipped to the appropriate winner's home address. The prizes will be in US funds drawn on a US bank of Magensa LLC’s choosing. Prizes are non-transferable and no substitutions or cash equivalents are allowed except by Magensa LLC.

CONDITIONS: By participating in The Magensa Demo Contest, you agree to release and hold Magensa LLC and its directors, officers, employees, parent company, and the directors, officers, employees of the parent company, and agents, and all prize suppliers harmless from any and all losses, damages, rights, claims, and actions of any kind in connection with The Magensa Demo Contest or any product purchased, or resulting from acceptance, possession, use or misuse of any prize, including, without limitation, personal injuries, death, and property damage, and claims based on publicity rights, defamation, or invasion of privacy, whether suffered by you or a third party. The Magensa Demo Contest is void wherever prohibited or restricted by law and is subject to all applicable federal, state and local laws and regulations. By participating, entrants agree to be bound by these Official Rules and the decisions of Magensa LLC and waive any right to claim ambiguity in The Magensa Demo Contest or these Official Rules. All decisions regarding The Magensa Demo Contest, including, but not limited to, selecting winners, will be made by Magensa LLC, whose decisions shall be final. Winners are solely responsible for all applicable federal, state and local taxes.

LIST OF PRIZEWINNERS: For a list of prizewinners, mail by April 25, 2008 a self-addressed stamped envelope, accompanied by a hand-printed request indicating "Winner's List", to The Magensa Demo Contest, Magensa LLC, 20725 Annalee Avenue, Carson , CA 90746. All requests must be received between April 15th, 2008 and April 25th 2008. WA and VT residents may omit return postage. The names, logos, and icons identifying the products and services of Magensa LLC are proprietary marks of Magensa LLC or MagTek, Inc. The Magensa Demo Contest rules are subject to change at any time without notice.
